Joyetech Distributors Agreement Notice

As Joyetech continues to expand its global operations as the world&#39;s premier manufacturer and supplier of electronic cigarettes and accessories to retail sellers, wholesalers, and other distributors, in order to protect Joyetech&#39;s brand and image, we are requesting that our distributors enter into a formal Distributorship Agreement with Joyetech in coming months.<br />
In exchange for your executing our Distributorship Agreement, we will promote your business on the official Joyetech website as one of our officially authorized distributors and will provide appropriate assistance to help you market and sell Joyetech products.&nbsp;<br />
We thank you for your business and look forward to continuing a long and productive relationship as we continue to build the global Joyetech brand and introduce more consumers to the JOY Life with E Technology.<br />
Following are some important terms abstract for your information:<br />

1. <u>Products and Suggested Pricing</u><u>.</u> Distributor shall not alter or in any way modify any of the Joyetech Products, their packaging, instructions, or manufacturer&#39;s limited warranty.&nbsp; Distributor consents to Joyetech&#39;s advertising of the &quot;manufacturer&#39;s suggested retail price&quot; on Joyetech&#39;s website and through other media as a manufacturer&#39;s suggested retail price.&nbsp; Joyetech shall not be responsible for notifying Distributor of any changes to the &quot;manufacturer&#39;s suggested retail price&quot; other than through posting a revised &quot;manufacturer&#39;s suggested retail price&quot; for any applicable Products on the Joyetech website.<br />
&nbsp;<br />
2.&nbsp;&nbsp;&nbsp; <u>Exclusivity</u>.&nbsp; Distributor will not sell, offer for sale, or promote any products that directly compete with the Products or with any new products that Joyetech may develop from time to time.&nbsp; Directly competing products are defined to include electronic cigarettes, electronic nicotine inhalation devices, electronic cigarette cartridges, atomizers, cartomizers, batteries, liquid nicotine solutions, and related accessories, such as carrying cases and car chargers, that appear identical to or closely resemble in appearance Joyetech&rsquo;s products. To the extent that Distributor desires to sell a product from a different manufacturer, the appearance of which reasonably resembles that of a Joyetech Product, Distributor shall request explicit written confirmation from Joyetech that such product does not fall within the definition of directly competing products as set forth in this paragraph.&nbsp;<br />
&nbsp;<br />
3.&nbsp;&nbsp;&nbsp; <u>Marketing &amp; Sales</u>.&nbsp;&nbsp;&nbsp; Distributor may engage in marketing and selling Joyetech Products in the Territory, whether through sales from a physical retail location, internet or web-based sales, or telephone order sales.&nbsp; However, no internet- or web-based sales or telephone sales may be made to customers located outside of the Territory.&nbsp;<br />
&nbsp;<br />
4.&nbsp;&nbsp;&nbsp; <u>Trademarks</u>. Joyetech hereby grants to Distributor a nonexclusive, revocable license and right to use all trademarks which are currently registered by Joyetech or may be registered by Joyetech in the future, provided that this license shall be limited to use of the trademarks in the promotion and advertising of Joyetech&#39;s products by Distributor.&nbsp; Such marks include, but are not limited to, &quot;Joyetech&quot;, the Joyetech circle and bars logo, the Joyetech name logo, &quot;Joye eGo,&quot; &quot;Joye eGo-T,&quot; &quot;Joye 510,&quot; and &quot;Joye 510-T.&quot; Distributor shall not use the trademarks as part of its corporate name nor use any name or mark confusingly similar to the licensed trademarks.&nbsp; Distributor further agrees not to register in any country any name or mark resembling or confusingly similar to the trademarks.<br />
